TERMS AND CONDITIONS

A. ACCOUNT STATUS

Your business account with AXON must be current in order for this Extended Service Agreement to be valid. If your account is in arrears more than 45-days, then AXON reserves the right to transfer the prorated value of the unused portion of this Extended Service Agreement toward the settlement of your account, which may automatically cancel your Extended Service Agreement.

B. EMERGENCY SERVICE

TO RECEIVE SERVICE - AT ANY TIME - YOU MUST BE A REGISTERED EXTENDED SERVICE AGREEMENT (ESA) CUSTOMER.In the event you are not a registered ESA customer, we can handle your service calls only under the following conditions:

(1) You must select and pay for, in advance, either the Full Service or Limited Service Plan BEFORE any service can be provided. (2) The minimum acceptable payment will be equal to the Annual rate for Limited Service (based on the configuration of your Axon System) plus the standard $500.00 reinstatement fee. (3) You will also be responsible for Module Exchange Fees, repair charges, and/or any other service costs per the terms of this Agreement. (4) Payment methods are certified check, Master Card or VISA (upon approval).

C. EQUIPMENT RELOCATION

If the equipment covered under this agreement is relocated during the term of the agreement, then the agreement is immediately null and void. Telephone assistance will be billed at $250 per call. Any replacement parts supplied will be charged per Paragraph E. Repair charges will be per Paragraph F.

D. AVAILABLE SERVICE PROGRAMS

1. The Full Service Program Provides:

(1) Unlimited, no additional charge, 24-hour telephone assistance, 365 days per year.

(2) No charge repairs for covered items.You pay only shipping and handling, both ways.

For repair of items not covered, see Paragraph F.

(3) No charge for covered advance replacement items. You pay only shipping and handling, both ways.

2. The Limited Service Program Provides:

(1) Unlimited, no additional charge, telephone assistance during Axon's regular business days and hours.

(2) Advance replacement modules and components per pricing listed in Paragraph E.

(3) Repairs per pricing listed in Paragraph F.

(4) Telephone service assistance, outside of Axon's normal business days and hours, at the rate of  $250 per service call.
